These Terms of Service (the "Terms") govern your use of Yallla: the iOS app, yallla.club and my.yallla.club (together, the "Service"). The Service is run by Fondry Company for Custom Software Design and Programming (شركة فوندري لتصميم وبرمجة البرمجيات الخاصة), a one-person company registered in Kuwait under Commercial Register No. 516831 ("Fondry", "Yallla", "we", "us").
Every sign-in and sign-up screen shows this line: "By continuing, you agree to the Terms and Privacy Policy." When you continue past that screen, you agree to these Terms, including the age requirement below, the Privacy Policy (yallla.club/privacy) and the Content Guidelines (yallla.club/content-guidelines). This includes your consent to your data being stored and processed in the countries named in the Privacy Policy. If you do not agree, do not continue and do not use the Service.
WHO CAN USE YALLLA
You must be 18 or older and legally able to enter into contracts. By agreeing to these Terms, you confirm this.
One account per person. If you use Yallla for a business, you confirm that you are allowed to act for that business, and these Terms bind both you and the business.
YOUR ACCOUNT AND SIGN-IN
You sign in with a one-time link sent to your email. We do not use passwords. Anyone who can open your email can sign in to your Yallla account, so keep your email account secure.
Give accurate information and keep it up to date. You are responsible for everything done through your account. Tell us at support@yallla.club if you think someone else has used it.
HOW YALLLA WORKS
Yallla connects clients in Kuwait with creative talent for project work.
- Clients post briefs on yallla.club. A brief describes a project, and may include a budget and an image.
- Our team reviews briefs before they go live. Briefs from some clients we trust may go live without waiting for review. We still review those briefs afterwards.
- We may remove any brief at any time. Anyone who can see a brief can report it.
- Briefs are visible only to signed-in talent whose accounts we have activated, to the client who posted the brief, and to our team.
- Talent join by invite code, in the iOS app or on yallla.club. Signing up without a code is a request to join. We review requests and activate accounts at our discretion.
- Talent read live briefs and send proposals.
- A brief stays live for 30 days, unless the client closes or deletes it sooner. After that, we may email the client once to ask whether they found someone.
- When a client accepts a proposal, contact details are shared between that client and that talent only. See "Sharing contact details" below.
We may set limits, for example on how many briefs you can post or proposals you can send in a day. We show you these limits in the Service.
YALLLA IS AN INTERMEDIARY ONLY
Yallla is strictly an intermediary matching service. We help clients and talent find each other. After a proposal is accepted, the client and the talent deal with each other directly, outside Yallla.
- We are not a party to any agreement between a client and a talent.
- Any agreement is between the client and the talent. They carry the primary contractual liability to each other, not Yallla.
- We do not guarantee the quality, legality or delivery of any work.
- We do not handle payments between clients and talent, hold money, or take a commission.
- We have no chat or messaging. You talk to each other outside Yallla.
- We do not enforce agreements, check work, or settle disputes between users.
- You are responsible for agreeing scope, price, timing, payment, ownership of the work, and any contract, and for any taxes, permits or licences that apply to you.
Using Yallla does not make you an employee, contractor, partner or agent of Fondry. A client and a talent working together does not create any employment or other relationship with us.
We do not check or guarantee the identity, skills, honesty or reliability of any user, or the quality, safety or legality of any brief, proposal or work. Take the care you would take with anyone you meet online before you share more information, pay, or start work.
SHARING CONTACT DETAILS
Contact details are never shown on a brief, a proposal list or a public profile before a proposal is accepted.
- When you send a proposal, you agree that if the client accepts it, the client will see the contact details you attached to it.
- When you accept a proposal, you agree that the talent will see the contact details on your account.
Once details are shared, the other person may keep them. We cannot take them back, even if you later withdraw, decline, or delete your account. Only share contact details you are happy for that person to use.
Use contact details you receive only to discuss and do the project. Do not add people to marketing lists, share their details, or contact them for anything unrelated.
INVITE CODES
Talent join Yallla by invite code.
- Each code works once.
- When you join as talent, you may receive a code of your own to pass on. Give it only to someone whose work you trust.
- Invite codes are personal. Do not sell, trade or publish them.
- We record which code you used and who it came from.
- We may cancel codes, and suspend accounts that were created or used to misuse codes.
We decide who is activated as talent. Having a code, or asking to join, does not guarantee an account.
YOUR CONTENT AND OUR LICENCE
"Your Content" means what you add to Yallla: your name, username, photo, bio, links, portfolio images and videos, briefs, proposals and reports.
You keep ownership of Your Content. You confirm that you own it or have permission to use it, and that it follows the Content Guidelines.
You give Fondry a non-exclusive, worldwide, royalty-free licence to host, store, copy, resize, translate, display and share Your Content to run and promote Yallla. This includes:
- showing your public talent profile and portfolio at my.yallla.club/your-username, in the app and on yallla.club, where it can be seen by anyone and found by search engines. Your Instagram username is shown there too, unless you hide it in Edit profile;
- showing briefs to signed-in, activated talent;
- occasionally featuring a live brief on Yallla's social media accounts. We decide for each post whether the client's name appears;
- featuring talent profiles and portfolio work on Yallla's Instagram and other social media accounts. We always credit you by your name or username.
You can ask us not to feature your profile, portfolio or briefs on social media by emailing support@yallla.club. We will stop new posts, and remove existing posts where we reasonably can.
This licence ends when you delete the content or your account. It does not cover copies others have already made (for example, contact details already shared, or a social media post someone has reshared), or copies we must keep for a short time as described in the Privacy Policy.
We may edit a brief to fix formatting, or to remove something that breaks the Content Guidelines. We may decline, hide or remove any content.
BADGES
Our team may give an account a badge.
- A blue badge means we have verified the account.
- A gold badge means we have confirmed the person or business behind it.
Badges are given and removed at our discretion. They do not unlock any features, and they are not a guarantee of quality, honesty or legality.
FEES
Yallla is free for clients and talent today. We take no commission.
We may introduce fees later, for example paid packs of briefs for clients. If we do:
- we will tell you before any fee applies to you, and you will see the price before you pay;
- purchases will be made on yallla.club only, through a payment provider in Kuwait;
- each purchase will be covered by the terms shown at checkout, which will explain what you get and when refunds apply.
The iOS app does not sell anything.
REPORTING AND MODERATION
Anyone who can see a brief or a profile can report it if they think it breaks these Terms or the Content Guidelines. A person on our team reviews reports.
When a brief or profile gets several reports, it can be hidden or marked as under review automatically until our team looks at it.
We may, with or without notice:
- decline, edit, hide or remove a brief or other content, including a brief that is already live;
- remove a badge;
- limit posting or proposals;
- suspend or ban an account;
- keep relevant content as evidence, and share it with the authorities where the law requires.
If we ban your account, do not create a new one.
THIRD-PARTY SERVICES AND LINKS
Profiles and portfolios can link to or show content from other services, such as Instagram, YouTube, Vimeo, TikTok and personal websites. Those services have their own terms and privacy policies. We are not responsible for them.
DISCLAIMERS
The Service is provided "as is" and "as available". To the fullest extent the law allows, we make no promises or warranties about it, express or implied, including that it will be fit for a particular purpose, always available, secure, or free of errors.
We are not responsible for what users do, on or off Yallla. This includes briefs, proposals, contact details users give, work done or not done, payments made or not made, and any dispute between users.
LIMITATION OF LIABILITY
To the fullest extent the law allows:
- we are not liable for indirect or consequential loss, or for loss of profit, income, business, data or goodwill;
- we are not liable for any loss arising from dealings between users, including the quality, legality or delivery of any work;
- our total liability to you for all claims about the Service or these Terms is limited to the total fees you paid Yallla in the 6 months before the claim arose. The Service is free at launch, so if you have paid no fees in that period, this amount is KWD 0.
Nothing in these Terms limits liability for fraud, gross negligence or wilful misconduct, or any other liability that Kuwaiti law does not allow us to limit.
INDEMNITY
You agree to cover Fondry's losses, costs and reasonable legal fees from claims by others that arise from Your Content, your dealings with other users, or your breach of these Terms or the law.
ENDING YOUR ACCOUNT
You can delete your account at any time in Settings, Account & security, in the app or on yallla.club, or by emailing support@yallla.club. What happens to your data is explained in the Privacy Policy.
We may suspend or close your account, with or without notice, if you break these Terms or the Content Guidelines, or if keeping it open would put other users or Yallla at risk. We may also stop offering the Service. If we do that, we will try to give you notice.
Parts of these Terms that should continue after an account ends will continue. These include ownership, disclaimers, limitation of liability, indemnity, governing law and disputes.
GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the State of Kuwait.
If you have a dispute with Yallla about the Service or these Terms, you must follow these steps in order:
- First, email support@yallla.club and describe the dispute. Give us 30 days from your email to try to resolve it.
- If it is not resolved within 30 days, the dispute goes to arbitration at the Kuwait Commercial Arbitration Centre (KCAC), seated in Kuwait.
- You may not file a lawsuit about the dispute before completing both steps.
The courts of Kuwait have jurisdiction over any matter that cannot go to arbitration, and over enforcing an arbitration award.
Disputes between a client and a talent are between them. Yallla is not a party to them.
LANGUAGE
These Terms are available in English and Arabic. If the two versions differ, the Arabic version prevails.
CHANGES TO THESE TERMS
We may update these Terms. The date on this page shows the latest version. If a change is important, we will tell you by email or in the Service before it takes effect. If you keep using Yallla after that, the new Terms apply. If you do not agree, delete your account.
APPLE-SPECIFIC TERMS
If you downloaded the app from the Apple App Store:
- These Terms are between you and Fondry, not Apple. Apple is not responsible for the app or its content.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to meet any warranty that applies, you may tell Apple, and Apple may refund the price you paid for the app, if any. Apple has no other warranty obligation for the app.
- Apple is not responsible for any claims about the app, including product liability claims, claims that the app breaks the law, consumer protection or privacy claims, or claims that the app infringes someone's intellectual property. We are responsible for those, as far as these Terms say.
- You confirm that you are not in a country subject to a US government embargo, and that you are not on any US government list of prohibited or restricted parties.
- You must also follow the Apple Media Services Terms and Conditions.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
